These Terms of Service ("Terms") govern your access to and use of the ReplyCue AI platform operated by ReplyCue AI Inc. ("ReplyCue AI," "we," "us," or "our"). By accessing or using our service, you agree to be bound by these Terms.
1. Service Description
ReplyCue AI is an AI-powered comment intelligence platform that helps brands and agencies analyze, classify, and manage comments across social media platforms. The service includes:
- Automated ingestion of YouTube comments via the YouTube Data API
- AI-powered comment classification across multiple dimensions (sentiment, intent, toxicity, etc.)
- Dashboard and reporting tools for comment analytics
- AI-assisted reply generation
- Alert and notification systems
- Team collaboration features
We reserve the right to modify, suspend, or discontinue any aspect of the service with reasonable notice.
2. Account Terms
- You must be at least 18 years old to use ReplyCue AI.
- You must provide accurate and complete registration information.
- You are responsible for maintaining the security of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must promptly notify us of any unauthorized access to your account.
- One person or legal entity may not maintain more than one free account.
- You may not use the service if you are a competitor or for the purpose of monitoring the availability, performance, or functionality of our service for competitive purposes.
3. Acceptable Use
You agree not to use ReplyCue AI to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Harass, abuse, or harm other individuals
- Generate spam, unsolicited communications, or automated bulk messaging
- Attempt to access data from YouTube channels or videos you do not have authorization to monitor
- Reverse-engineer, decompile, or disassemble any part of the service
- Use the service to build a competing product
- Exceed rate limits or otherwise abuse the API
- Share your account credentials with unauthorized parties
We reserve the right to suspend or terminate accounts that violate these terms without prior notice.
4. Payment Terms
Subscription Billing
Paid plans are billed on a recurring basis (monthly or annually, depending on your selection). Your subscription automatically renews at the end of each billing cycle unless cancelled before the renewal date.
Free Trial
We may offer a free trial period. At the end of the trial, you will be automatically charged for the plan you selected unless you cancel before the trial ends.
Price Changes
We may change our prices with at least 30 days' written notice. Price changes take effect at the start of your next billing cycle.
Refund Policy
We offer a 14-day refund policy for new subscriptions. If you are unsatisfied within the first 14 days, contact us for a full refund. After 14 days, fees are non-refundable. Refunds for annual plans will be prorated based on unused months.
Failed Payments
If a payment fails, we will attempt to charge your payment method up to 3 times over 10 days. If all attempts fail, your account will be downgraded to the free plan. Your data will be retained for 30 days, after which it may be deleted.
5. Intellectual Property
The ReplyCue AI service, including its software, design, logos, and documentation, is the intellectual property of ReplyCue AI Inc. and is protected by applicable intellectual property laws.
Your Data: You retain all rights to your data. By using ReplyCue AI, you grant us a limited license to process your data solely for the purpose of providing and improving the service.
AI-Generated Content: AI-generated reply suggestions and classification results are provided as tools for your use. You are responsible for reviewing and approving any content before it is published on social media platforms.
Feedback: If you provide feedback or suggestions about the service, you grant us a non-exclusive, royalty-free license to use that feedback to improve our products.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPLYCUE AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability for any claims under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.
AI Accuracy: AI-powered classification is provided on an "as-is" basis. While we strive for high accuracy, we do not guarantee that every comment will be correctly classified. You should not rely solely on automated classification for critical brand safety decisions without human oversight.
7. Termination
You may cancel your account at any time through your account settings or by contacting us. Upon cancellation:
- Your subscription will remain active until the end of the current billing period.
- You can export your data during this period.
- After the subscription period ends, your data will be retained for 30 days before deletion.
- We will delete any YouTube comment data associated with your account.
We may terminate or suspend your account immediately if you violate these Terms. In cases of termination for cause, no refund will be provided.
8. Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in San Francisco County, California.
